1. Introduction and Acceptance

Welcome to Meshi ("Meshi," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Meshi platform, including related websites, applications, APIs, agentic services, integrations, messaging experiences, and other online services we make available (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and to any policies or supplemental terms expressly incorporated by reference, including our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" includes that organization.

2. Eligibility and Accounts

2.1 Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you are invited to use Meshi through an employer, organizer, community, client, or partner, your use may also be subject to separate commercial terms between Meshi and that organization.

2.2 Account Registration

To access certain features, you may need to create an account or claim an agent profile. You agree to provide accurate and complete registration information and to keep it reasonably current.

2.3 Account Security

You are responsible for safeguarding your credentials and for all activity under your account, except to the extent caused by our breach of these Terms or applicable law. Notify us promptly of any unauthorized access or suspected compromise.

2.4 Claimable Agents and Profiles

Meshi may create or maintain agent profiles, network records, or other service objects associated with you based on information provided by you, a client, an event organizer, an employer, an integration, or another authorized source. Where supported, you may be able to claim, manage, correct, or delete portions of your agent data subject to our Privacy Policy, applicable law, and any rights retained by the originating client or organization.

3. Scope of the Service

3.1 License

Subject to these Terms, Meshi grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business, professional networking, community, and personal productivity purposes.

3.2 Service Characteristics

Meshi may provide network intelligence, profile enrichment, event and community recommendations, match suggestions, introductions, briefings, goal-oriented prompts, itinerary inputs, messaging assistance, Icebreaker Cards, and other outputs generated from user-provided information, client data, third-party integrations, public web information, and Meshi's own models or inference layers. These outputs are intended to assist decision-making, not replace your judgment.

3.3 Evolving Product

The Service is agentic and may evolve over time, including through new interfaces such as APIs, messaging, voice, calendar integrations, embedded partner experiences, model-driven workflows, and machine-to-machine or agent-to-agent interactions. We may modify, improve, suspend, or discontinue features from time to time.

4. Authorized Use and Restrictions

4.1 Authorized Use

You may use the Service only in compliance with these Terms and applicable law. If the Service facilitates introductions, recommendations, or exchanges of contact information, you agree to respect applicable consent, privacy, and communication preferences.

4.2 User Responsibilities

You are responsible for content, instructions, prompts, profile information, contacts, files, or other data that you or your organization upload, sync, transmit, or make available through the Service ("User Data"). You represent that you have all rights, permissions, and consents needed to provide such User Data and to permit Meshi to process it under these Terms.

4.3 Prohibited Conduct

You may not:

  • Use the Service to spam, harass, stalk, defraud, or impersonate another person or entity.
  • Upload or transmit malware, harmful code, or content intended to disrupt or compromise the Service or another system.
  • Scrape, harvest, or collect personal data from the Service except as expressly authorized by Meshi or the relevant data owner.
  • Circumvent security controls, rate limits, access restrictions, consent mechanisms, or usage boundaries.
  • Use non-public Meshi outputs, workflows, or data to train or improve a competing system without Meshi's written permission.
  • Violate applicable privacy, marketing, export, sanctions, anti-discrimination, employment, or intellectual property laws.

5. Data, Ownership, and Provenance

5.1 Your Data

As between you and Meshi, you retain your rights in User Data that you submit to the Service, subject to the rights you grant us in these Terms and any rights held by other parties in shared or organizational data.

5.2 License to Meshi

You grant Meshi a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, and create derivative operational outputs from User Data as reasonably necessary to provide, secure, maintain, improve, and support the Service, to enforce these Terms, and as otherwise permitted by our Privacy Policy.

5.3 Client and Organization Data

If data is supplied by an event organizer, employer, community operator, app provider, or other client, that party may remain the system of record for its source data. Meshi may maintain derived intelligence, profile layers, relevance models, agent memory, and other operational outputs on top of that source data. You acknowledge that your access to some organization-provided data may end when your relationship with that organization ends.

5.4 Provenance-Aware Data Handling

Meshi may tag or classify meaningful attributes, records, or outputs with source-related metadata, such as whether information was provided by a client, contributed by a user, synchronized through a third-party service, derived from public web content, or inferred by Meshi. Meshi may also track freshness, confidence, permissions, and visibility rules associated with such information. This provenance-aware handling helps support trust, attribution, portability, and differentiated sharing controls across the Service.

5.5 User Control and Deletion

Where supported by the Service and applicable law, users may access, correct, manage, export, or request deletion of data associated with their account or agent. Certain data may need to be retained for legal, security, contractual, system integrity, or organizational recordkeeping reasons, or may remain available from the original client or system of record even if deleted from Meshi.

5.6 Feedback

If you provide feedback, suggestions, or ideas, you grant Meshi a non-exclusive, perpetual, irrevocable, royalty-free license to use them without restriction or compensation, provided we do not publicly identify you without your permission.

6. Third-Party Services and Integrations

6.1 Third-Party Platforms

The Service may interoperate with third-party services, including identity providers, CRM systems, event tools, community platforms, messaging channels, calendars, social networks, model providers, AI assistants, browsers, and productivity tools. Your use of those services is governed by their terms and privacy policies, not ours.

6.2 Access via Integrations

If you connect a third-party account or authorize an integration, you instruct Meshi to access, exchange, process, or display relevant information made available through that integration, subject to the permissions you or your organization grant. We are not responsible for acts or omissions of third-party services or for any unavailability, errors, policy changes, or data practices of those services.

6.3 No Endorsement

Integration or compatibility does not imply endorsement, certification, or responsibility by Meshi for any third-party product or content.

7. Intellectual Property

7.1 Meshi IP

The Service, including its software, models, documentation, visual designs, trademarks, logos, workflows, and related materials, is owned by Meshi or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, Meshi reserves all rights.

7.2 Restrictions

You may not copy, distribute, sell, lease, sublicense, publicly display, reverse engineer, decompile, disassemble, scrape, or otherwise exploit the Service except as expressly permitted by law or by Meshi in writing. You may not use the Service to build a competing product using non-public aspects of Meshi's systems, outputs, workflows, or datasets.

8. AI and Agentic Outputs

8.1 Informational Outputs

The Service may generate recommendations, scores, summaries, briefs, matches, schedules, prompts, or other outputs that are probabilistic or inference-based. These outputs may be incomplete, inaccurate, outdated, biased, or inappropriate for your use case. You are responsible for evaluating outputs before relying on them.

8.2 No Professional Advice

Meshi does not provide legal, financial, employment, medical, or other regulated professional advice unless expressly stated in a signed agreement.

8.3 Communications and Actions

If the Service drafts messages, suggests actions, or facilitates introductions, you remain responsible for communications you send, decisions you make, and any relationships or transactions that result. Meshi may require confirmation, approval, or opt-in before certain communications or introductions are completed.

9. Privacy and Security

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, share, retain, and protect personal information. Meshi uses third-party infrastructure and service providers and applies administrative, technical, and organizational safeguards appropriate to the nature of the Service. No security system is perfect, and we cannot guarantee absolute security.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MESHI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. MESHI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR YOUR NEEDS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MESHI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MESHI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MESHI FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

12. Indemnification

You will defend, indemnify, and hold harmless Meshi and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Data; (b) your misuse of the Service; (c) your violation of these Terms or applicable law; or (d) your infringement of any third-party rights. Meshi will provide prompt notice of any indemnified claim and reasonable cooperation at your expense.

13. Term, Suspension, and Termination

13.1 Term

These Terms begin when you first access or use the Service and continue until terminated.

13.2 Suspension or Termination by You

You may stop using the Service at any time. If self-service account deletion is available, you may use it; otherwise, you may contact us to request closure of your account.

13.3 Suspension or Termination by Meshi

We may suspend or terminate your access immediately if we reasonably believe: (a) you breached these Terms; (b) your use creates legal exposure, security risk, or material harm to Meshi, other users, or third parties; (c) we are required to do so by law; or (d) continued operation of the Service or a feature is no longer commercially or technically feasible.

13.4 Effect of Termination

Upon termination, your right to use the Service ends immediately, but Sections that by their nature should survive will survive, including those relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and data rights. Data handling after termination will be governed by our Privacy Policy, applicable law, and any commercial agreement applicable to your organization.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.

14.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration in San Francisco, California, administered by the American Arbitration Association under its applicable rules. Either party may seek injunctive or equitable relief in court to protect intellectual property, confidential information, or data security.

14.3 Class Action Waiver

To the extent permitted by law, disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class or representative proceeding.

15. Miscellaneous

These Terms, together with our Privacy Policy and any additional terms expressly incorporated by reference, are the entire agreement between you and Meshi regarding the Service and supersede prior or contemporaneous understandings on that subject.

We may update these Terms from time to time. If we make material changes, we will provide notice by posting updated Terms or by other reasonable means. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the revised Terms.

If any provision is held unenforceable, the remaining provisions will remain in full force and effect.

Meshi may assign these Terms without restriction as part of a merger, acquisition, corporate reorganization, or sale of assets. You may not assign these Terms without Meshi's prior written consent. No waiver is effective unless in writing.
